e) A “Qualified Institutional Buyer” as that term is defined in Rule 144A under the Securities Act, other than (i) a registered broker-dealer with less than $25,000,000 in investments or (ii) an employee benefit plan, pension plan or other plan or trust in which participants have the right to direct investments.
f) If not a U.S. person, otherwise qualified to view investment materials under the laws of your country of residence.
